Liberty Global buys 6.4% of ITV for GBP 481 mln

(Telecompaper) International cable company Liberty Global has acquired 259.8 million shares in UK terrestrial broadcaster ITV from British Sky Broadcasting for approximately GBP 481 million. The investment gives Liberty an around 6.4 percent stake in ITV. Liberty Global will fund the purchase through existing liquidity and a loan linked to a hedging transaction secured by ITV shares. No regulatory approval is required with this level of investment. Liberty Global said it does not intend to make an offer to acquire ITV but reserves the right to announce an offer or participate in an offer for ITV within the next six months. CEO Mike Fries described the move as an opportunistic and attractive investment in Liberty Global's largest cable market.
Liberty Global submits concessions on Ziggo takeover

(Telecompaper) Liberty Global confirmed it has proposed concessions to the European Commission to secure approval for its proposed takeover of Dutch cable operator Ziggo. A spokesman for Liberty Global confirmed information posted on the website of the EU competition authorities, which said commitments were submitted on 14 July. The company declined to provide further details, saying only that it was having a constructive dialogue with the competition authorities and still expects to complete the takeover in the second half of this year. The EC has set a deadline of 17 October for taking a decision on the acquisition.

Liberty Global launches bid for Ziggo, Coopmans to be CEO

(Telecompaper) Liberty Global has announced the subscription period for its takeover bid for Dutch cable operator Ziggo, first announced in January. Ziggo shareholders can tender their shares from 02 July to 10 September. Ziggo shareholders will vote on the deal at an extraordinary meeting planned for 26 August. The acquisition still need approval from the European Commission, which has set a deadline of 17 October for its decision. Ziggo's management and supervisory boards have recommended the bid. They said the price was "fair" and the merger of Ziggo with Liberty's unit UPC Netherlands was in the best interests of both companies. Based on Liberty Global's closing share price 26 June, the bid in cash and Liberty A and C shares is worth EUR 35.64 per share (versus EUR 35.74 in January). Liberty Global will declare the bid unconditional if at least 95 percent of Ziggo shares are tendered, but can also lower the minimum to 80 percent or even 65 percent if Ziggo approves. Liberty Global also announced that Baptiest Coopmans, previously a top executive at KPN, will be CEO of the merged company. He was named CEO of UPC Netherlands in May 2013.
