Vivendi to acquire 0.95% stake in Telefonica after GVT deal

(Telecompaper) Telefonica has announced that it has reached an agreement with French media conglomerate Vivendi to exchange 46.0 million of its treasury shares, representing 0.95 percent of its capital, for 58.4 million preferred shares in Telefonica Brasil, representing 3.5 percent of its Brazilian unit. Vivendi had acquired the shares in Telefonica Brasil as part of the sale of its Brazilian broadband unit GVT to Telefonica. In its statement to Spanish market watchdog CNMV, Telefonica said the share exchange remained subject to approval by the Brazilian competition authority (CADE). Vivendi also released a statement confirming the agreement, adding that "today's transaction reflects the group's intention to become more active in Europe and to pursue strategic partnerships there."

Telefonica, DTS fined EUR 15.5 mln for football rights deal

(Telecompaper) Spanish communications and competition regulator CNMC has fined Telefonica and Distribuidora de Television Digital (DTS) a total of EUR 15.5 million on grounds of having colluded in the acquisition, resale and exploitation of football broadcast rights for the 2012-2013 and 2014-2015 seasons. The regulator said the sharing agreements between the companies infringed EU competition laws and that, as a result, Telefonica and DTS would be fined EUR 10 million and EUR 5.5 million, respectively, for two agreements reached in August 2012 for the commercialisation of the channels Canal+ Champions League and Canal+ Liga. In a strongly worded statement, the CNMC said Telefonica was aware of DTS's strategy of marketing Champions League rights to a single telecoms operator before other operators and that DTS drafted the auction conditions to favour Telefonica and limit competition between pay-TV operators. Similarly, with regard to Canal+ Liga, DTS drew up its wholesale offer in such a way that Telefonica knew its strategy and prices in advance, placing the operator it at a competitive advantage over other bidders.

CNMC fines Telefonica, Yoigo for network sharing deal

(Telecompaper) Spanish communications and competition regulator CNMC has imposed fines on Telefonica and Yoigo for the anti-competitive nature of the network-sharing agreement signed in August 2013, reports Europa Press. Telefonica has been fined a total of EUR 6 million and Yoigo EUR 300,000 for the deal, taking into account the respective revenues of the companies (EUR 12 billion in Telefonica Espana's case against Yoigo's EUR 812 million). The regulator, which has yet to officially communicate the specific grounds for its decision, initiated its investigation into the deal back in November 2013 but rejected calls from rival companies Vodafone and Orange to suspend the agreement. In its original complaint, Vodafone denounced the "virtual identity" of the respective Fusion offers of Telefonica and Yoigo, alleging that there was an "unusual degree of collaboration" between the two operators.

Telefonica Deutschland Holding agreed to transfer 7 700 mobile-tower sites to Deutsche Telekom as it cuts back redundant infrastructure following the takeover of rival carrier E-Plus. The transfer "realises a part of the announced synergies" following the completion of the E-Plus acquisition last October, according to a statement Monday.
