Keystone XL pipeline postponement bid ups pressure on Energy East proposal

TransCanada CEO Russ Girling announced the company is moving forward with the 1.1 million barrel-per-day Energy East Pipeline project at a news conference in Calgary in 2013 Like a game of pipeline whack-a-mole, a bid by TransCanada Corp., to suspend its controversial, north-south Keystone XL pipeline proposal has elevated the west-east Energy East pipeline plan to the top of Canada's political agenda. "With Keystone now delayed, even more important we approve Energy East," Saskatchewan Premier Brad Wall posted on his Twitter account Tuesday while the U.S. State Department was still chewing over TransCanada's postponement bid.

PMC accepts improved takeover bid from Skyworks

(Telecompaper) Chipmaker PMC-Sierra has accepted an improved all cash acquisition bid from Skyworks Solutions after determining that a rival cash and stock offer from Microsemi was inferior. Under the amended and restated merger agreement with Skyworks, the latter will pay USD 11.60 per share, an increase on the 5 October agreement of USD 11.50 per share. The amended agreement also provides for a USD 88.5 million termination fee, compared to USD 70 million in the first agreement. Microsemi had offered to acquire PMC for USD 8.75 in cash and 0.736 of a share of Microsemi common stock per share of PMC common stock. Microsemi then improved its offer to USD 9.04 in cash and 0.771 of a share, but the risk of a decline in Microsemi's share price would make its offer inferior. The boards of Skyworks and PMC have approved the amended merger agreement. Skyworks intends to fund the acquisition with cash on hand from the combined companies and with fully committed debt financing. The transaction is expected to close in the first half of 2016, subject to PMC shareholder approval, regulatory approval and other customary closing conditions.

Did Cell C owner reject Telkom's bid?

Oger Telecom has rejected a R14 billion offer from Africa's largest fixed-line operator, Telkom SA, for its 75 percent stake in South African wireless carrier Cell C, according to a person familiar with the matter. Telkom is now conducting due diligence on whether to make a renewed offer for Dubai-based Oger's stake in South Africa's third-largest mobile-phone company, said the person, who asked not to be identified as the matter is private.

Woodside Petroleum won't rule out raising bid for Oil Search

Woodside Petroleum has made it crystal clear it wants to keep all options on the table to pursue a takeover of Oil Search, issuing a formal correction to a newswire story in which chief executive Peter Coleman appeared to rule out raising its $11.6 billion scrip offer. Interviewed in Singapore on Monday, Mr Coleman said the rejected offer for Oil Search was "fair and fully priced".
