A 28-year-old Indiana law could shield Elkhart, Ind.-based based Skyline Corp. from competitor Cavco Industries Inc.'s takeover attempt. As reported by the Elkhart Truth , the state's Control Shares Acquisition Statute, enacted in 1986, prohibits a company that acquires 20%, 33 1/3% or 50% of a target corporation's stock from obtaining voting rights in the company's affairs unless a majority of non-interested shareholders - meaning everyone other than management and the raider - vote to grant those rights.

Toyoda Gosei Co. Ltd., an automotive parts manufacturer based in Aichi, Japan, has agreed to plead guilty and to pay a $26 million criminal fine for its role in conspiracies to fix prices and rig bids for automotive hoses, airbags and steering wheels sold to automobile manufacturers, the Department of Justice announced today.

The UAW and two top German labor groups have signed a letter of intent to jointly organize the Volkswagen AG assembly plant in Chattanooga, a top UAW official said today. The latest move may be a step toward the UAW gaining bargaining rights to represent the hourly workers at VW's only U.S. plant, according to the letter, a copy of which was obtained by Reuters.

China's Fosun International Ltd has upped its bid for Portugal's Espirito Santo Saude to 4.82 euros a share or 460.5 million euros in total, stepping up the battle over the hospital business of the indebted Espirito Santo family. Portugal's CMVM market regulator said late on Friday it registered the all-cash offer by conglomerate Fosun's Portuguese insurance unit Fidelidade, while also extending by a week to Oct. 10 a rival offer by Mexico's Grupo Angeles, the first to bid for ESS.
