EU approves $17 billion Nokia acquisition of Alcatel-Lucent

The European Union has approved the 15.6 billion-euro acquisition of ailing French telecom company Alcatel-Lucent by Finland's Nokia Corporation following an investigation into whether the deal broke competition rules. The EU's executive Commission said Friday that there was enough difference between the two firms to not raise major competition concerns.

Anatel approves GVT acquisition by Telefonica

(Telecompaper) Brazil's National Telecommunications Agency (Anatel) has issued conditional approval for the purchase of broadband operator GVT by Telefonica. The conditions include the return of the fixed telephony concessions in areas where the two companies overlap (mainly in Sao Paulo) and a minimum 18 months for GVT to maintain current contracts with its users, reports Reuters. The same deadline will apply for both companies to maintain joint plans and offers. Anatel also established a period of 18 months for the Spanish operator to dispose of its shareholding in Telecom Italia. Anatel also determined that, for 18 months, Telefonica loses rights in the management of Telecom Italia. It was also decided that the planned transfer of shares held by Telefonica in Telecom Italia to Vivendi, as part of the payment for GVT, will have to be resubmitted to the Brazilian regulatory agency. Anatel also approved the entry of Vivendi in the capital of Telefonica Brasil, an operation also included in the purchase of GVT, as well as the payment of EUR 4.66 billion for the broadband operator.

EC approves Ziggo acquisition by Liberty Global

(Telecompaper) The European Commission has approved the proposed acquisition of Ziggo by Liberty Global, pending a few conditions. To address these conditions, Liberty Global offered to sell Film1, its premium Pay TV film channel. Liberty Global also committed to terminate clauses in channel carriage agreements that limit broadcasters' ability to offer their channels and content over the internet, and not to include such clauses in future channel carriage agreements for eight years. These commitments remove the Commission's concerns. The Commission said it was concerned that the original plans for the merger would have hindered competition by removing two close competitors and important competitive forces in the Dutch market for the wholesale of premium Pay TV film channels, and by increasing Liberty Global's buyer power vis-a-vis TV channel broadcasters. This would have allowed Liberty Global to hinder innovation in the delivery of OTT services. The merger brings together the first and the second largest cable TV networks in The Netherlands. Both companies operate in different geographic areas within the country and as such, do not compete for the same customers. The merger will not change this.
