Atmel shareholders will receive $4.65 in cash and 0.112 of a Dialog ADS for each Atmel common share.

The Proposed acquisition is valued at approximately A 124 million, or $191 million.

The Offer : Shire plc confirmed Tuesday, that it made an offer to Baxalta Incorporated on July 10, 2015, proposing to combine the two companies in an all-stock deal valuing Baxalta at $45.23 per share. Under an agreement, Baxalta shareholders would receive, for each Baxalta share, 0.1687 Shire ADRs.
