Atmel Says Microchip Offer Superior to Dialog Semiconductor

Atmel Corp.'s board said an unsolicited bid from Microchip Technology Inc. is a "superior proposal" to the terms of the merger agreement it had signed with Dialog Semiconductor Plc last year. The binding offer from Microchip is for $8.15 a share, with $7 in cash and a fraction of a share of Microchip common stock valued at $1.15 based on a 10-day average closing price, Atmel said in a statement Wednesday.

Xchanging Urges Shareholders to Accept CSC Bid; No Superior Bid Expected

Outsourcing company Xchanging Plc said it did not expect a superior cash offer from Ebix Inc and urged shareholders to accept a bid from U.S.-based Computer Sciences Corp. Insurance software company Ebix had in November made a 450 million pound takeover approach for Xchanging, which offers services ranging from back-office invoice processing to insurance claims settlement. Ebix has not confirmed that it will be able to make a superior offer or provided evidence that it would be able to finance such an offer, Xchanging said.

Fairchild Semiconductor International said a revised takeover proposal from a group led by China Resources Holdings and Hua Capital Management would "reasonably be expected" to lead to a "superior" offer for the company. The board's decision opens the door for the two groups to start talking to each other, the San Jose-based semiconductor company said in a statement Tuesday.
