Level 3, TW Telecom shareholders back $5.3 billion merger

Jeff Storey, CEO of Level 3 Communications Inc., will continue to lead the company following its acquisition of TW Telecom. Shareholders of Level 3 Communications and TW Telecom on Tuesday morning overwhelmingly approved merging the companies in a $5.3 billion deal.

Vimpelcom fails to reach deal on Wind, 3 Italia merger

(Telecompaper) The possibility of a merger between Wind and 3 Italia, the Italian mobile phone units of Vimpelcom and Hutchison Whampoa, has been called off by Vimpelcom after the companies failed to reach an agreement. Without identifying the potential partner, Vimpelcom confirmed in a statement that it had "held discussions to explore the potential value which would accrue to shareholders through a 50-50 joint venture in Italy," going on to add that "no conclusion to these discussions was reached." The companies have been holding on-off talks since December, with Wind's debt of around EUR 9.5 billion representing the main a hurdle to a deal, but the debt refinancing plan implemented by Vimpelcom in April gave fresh impetus to a possible merger, with Italian press reports stating that Goldman Sachs and Deutsche Bank had been working on behalf of 3 Italia and Wind respectively to iron out any remaining problems. In its statement Vimpelcom added that it will continue to "explore value-adding transactions."
Competition conditionally approves SFR-Numericable merger

(Telecompaper) The French Competition Authority has given its conditional approval to the purchase of mobile and broadband operator SFR by cable operator Numericable and its parent company Altice. Numericable will open its cable network to Orange, Bouygues Telecom, Free and MVNOs wishing to offer fixed broadband services. Numericable has agreed to sell the copper network of business operator subsidiary Completel and will have to give business operators wholesales access to SFR and Completel's local fibre loop. Numericable will have to sell the Outremer Telecom mobile businesses in Reunion and Mayotte to allow a new competitor to emerge in these markets. Finally, Numericable has made a commitment to not communicate any strategic commercial information to Vivendi in markets in which they compete, namely pay TV in France and telecommunications in overseas French territories.
