A Midland judge says he will rule next week on a motion from Union Pacific Railroad to end the civil trial involving people who were hurt or whose family members died when a freight train struck a veterans parade float. State District Judge James Rush said Friday that attorneys for the railroad filed the motion for summary judgment Thursday.

SEC Chair Directs Staff to Review Commission Rule Excluding Conflicting Proxy Proposals

On January 16, Securities and Exchange Commission Chair Mary Jo White announced that she has directed the SEC's staff to review Rule 14a-8 promulgated under the Securities Exchange Act of 1934, which allows an issuer to exclude a shareholder proposal that "directly conflicts" with one of the issuer's own proposals. Chair White's directive is a result of uncertainty created by the Staff's no-action letter issued to Whole Foods Market, Inc., which is described in detail in the Corporate and Financial Weekly Digest edition of December 12, 2014 .

Yesterday, Broc Romanek posted on SEC Chair Mary Jo White's Friday surprise with respect the no-action letter request submitted by Whole Foods Market, Inc. Readers may recall that in December Whole Foods had obtained the staff's concurrence in excluding a shareholder access proposal submitted by Jim McRitchie. The basis for Whole Foods' exclusion was that it intended to present its own proposal.
