Vodafone completes sale of New Zealand unit for NZD 3.4 bln

(Telecompaper) Vodafone Group has completed the sale of Vodafone New Zealand to a consortium comprising Infratil and Brookfield Asset Management for a cash consideration equivalent to an enterprise value of NZD 3.4 billion (approximately EUR 2.1 billion). Proceeds from the sale will be used to reduce Vodafone's net debt, the company said. Vodafone and Vodafone New Zealand have now entered into a partner market agreement, which includes use of the Vodafone brand, preferential roaming arrangements, access to Vodafone's global IoT platform and central procurement function, and a range of services for the business and consumer markets.

Sky buys Vodafone NZ for NZD 3.4 bln

(Telecompaper) Sky and Vodafone NZ have agreed to merge their operations in New Zealand. Under the terms of the deal, Sky will acquire all of the shares in Vodafone NZ for NZD 3.437 million in cash and shares. The cash consideration for Vodafone will amount to NZD 1.25 billion, to be funded through new debt. Sky will also issue new shares, giving Vodafone a 51 percent interest in the combined group. The new Sky shares will be issued at NZD 5.40 per share. The new company will be led by Russell Stanners, currently CEO of Vodafone NZ. Sky chairman Peter Macourt will become chairman of the board. The board of Sky fully supports the proposed transaction and unanimously recommends shareholders to vote in favour.
M2 to acquire New Zealand ISP Call Plus for NZD 250 mln

(Telecompaper) Australian telecommunications services group M2 has agreed to acquire New Zealand ISP Call Plus and a related entity 2Talk (collectively called Call Plus) for NZD 250 million. M2 expects the acquisition to contribute in excess of NZD 250 million revenue and NZD 45 million EBITDA in FY16, implying an EBITDA valuation multiple of approximately 5.6 times. Via the Call Plus acquisition, M2 expects to expand its existing New Zealand business to become the third largest ISP on the local market.

My Net Fone to buy Spark's int'l voice ops for NZD 22 mln

(Telecompaper) Australian internet and VoIP services provider My Net Fone has agreed to acquire Spark New Zealand's international voice business for NZD 22.4 million. The international voice business has forecast EBITDA of round NZD 34 million per year. Spark will retain its international data business. The nonUS aspects of the transaction are expected to complete in April, with the US aspects to complete following receipt of US government approvals. The sale is in line with Spark's strategy of focusing mainly on its New Zealand operations.
