Fairchild Semiconductor International said a revised takeover proposal from a group led by China Resources Holdings and Hua Capital Management would "reasonably be expected" to lead to a "superior" offer for the company. The board's decision opens the door for the two groups to start talking to each other, the San Jose-based semiconductor company said in a statement Tuesday.

Fairchild Semiconductor International Inc said the revised unsolicited offer it received from China Resources Microelectronics Ltd and Hua Capital Management Co Ltd last week is superior to that of ON Semiconductor Corp. Fairchild said on Tuesday its board still supports the deal with ON Semiconductor and is not making any recommendation related to the revised proposal. ON Semiconductor in November agreed to buy Fairchild Semiconductor for $2.4 billion to bolster its business of making power-management chips.

Fairchild Semi to consider rival bid

Fairchild entered the agreement with ON Semi in November, at which time ON Semi was offering to buy Fairchild for $20 a share. "Fairchild remains subject to the agreement and plan of merger with ON Semiconductor, and Fairchild's board of directors has not changed its recommendation in support of that agreement, nor is the board of directors making any recommendation with respect to the revised proposal," the company said in a statement.
