Amaysim buys Vaya for AUD 70 mln

(Telecompaper) Australian MVNO Amaysim has completed its full acquisition of Vaya for AUD 70 million, including an equity value of AUD 20 million. The price includes AUD 5 million paid in cash to Vaya vendors on completion and AUD 15 million of Amaysim shares issued to Vaya vendors over 12 months, in three equal tranches. Amaysim will also assume a total of AUD 50 million of liabilities to Optus, payable over two years.

Vocus, M2 Group to merge into company worth over AUD 3 bln

(Telecompaper) Australian and New Zealand wholesale IP transit and voice supplier Vocus and M2 Group have signed a merger agreement that will create the fourth-largest telecoms company in Australia by market value and the third biggest in New Zealand. The new company will be worth more than AUD 3 billion and have revenues of around AUD 1.8 billion. Vocus said it has offered 1.625 of its shares for each M2 share, implying an AUD 1.93 billion value for M2. The price represents a 25 percent premium to the closing price for M2 shares on 25 September. The deal, expected to generate up to AUD 40 million a year in savings, has been unanimously approved by each company's board ahead of a shareholder vote.

Macquarie to buy Crown Castle Australia for AUD 2 bln

(Telecompaper) Mobile towers operator Crown Castle announced an agreement to sell its Australian subsidiary to a consortium of investors led by Macquarie Infrastructure and Real Assets for AUD 2.0 billion in cash (USD 1.6 billion). Crown Castle will use the estimated net proceeds of USD 1.3 billion to finance its previously announced acquisition of Sunesys and paying down debt. US-based Crown Castle announced in February it was considering the sale of the Australian subsidiary CCAL, in which it owns 77.6 percent. CCAL is the largest independent tower operator in Australia with around 1,800 sites under management. It entered the Australian market in 2000, acquiring towers first from Optus and later from Vodafone and Hutchison, and also serves the NBN Co and emergency networks. The Australian company contributes around 4-5 percent of Crown Castle's estimated annual EBITDA. Macquarie is an Australia-based financial services company with investments in infrastructure throughout the world.
