Switzerland's Novartis AG has agreed to sell its nicotine patch, Habitrol, in order to win U.S. antitrust approval for a consumer healthcare joint venture with Britain's GlaxoSmithKline , the U.S. Federal Trade Commission said on Wednesday. The deal is part of a three-way transaction unveiled in April, which includes GSK buying Novartis' vaccines business, Novartis purchasing GSK's cancer drugs, and the two groups tying up in consumer healthcare.

Britain's GlaxoSmithKline has asked its shareholders to vote at a meeting on Dec. 18 on its proposed major deal with Switzerland's Novartis, which will see the two pharmaceutical group trade more than $20 billion of assets. The transaction, which includes GSK buying Novartis' vaccines business, Novartis purchasing GSK's cancer drugs, and the two groups tying up in consumer healthcare, was unveiled in April.

Swiss drug maker Novartis posts strong 3Q profit

Swiss pharmaceutical giant Novartis AG has posted a 45 percent rise in net profit in the third quarter, boosted by strong sales of new products such as Gilenya for multiple sclerosis and the leukemia drug Tasigna. The Basel, Switzerland-based company's reported quarterly net profit was $3.24 billion, up from last year's equivalent of $2.23 billion, which was downwardly adjusted to conform to reporting requirements.

Novartis agrees to sell its flu vaccine business to CSL of Australia for $275 million

CSL Ltd. said the deal will make it the second-largest flu vaccine maker in the world. The company said the Novartis business had $527 million in revenue in 2013 and said its combined revenue could reach $1 billion a year in three to five years.
