In a country with a record of hostility toward foreign capital, some local investors are breaking with tradition as they side with a U.S. hedge fund opposing an $8 billion merger seen vital to the transfer of leadership at South Korea's top conglomerate. Hundreds of Samsung C&T Corp's small stakeholders have converged on a public web forum in recent days to protest what they say is a low-ball all-stock takeover offer from Cheil Industries Inc , an affiliate of Samsung Group and the conglomerate's de facto holding company.

Syngenta Spurns Second Monsanto Bid, Citing Antitrust Risks

Seeds and agricultural chemicals firm Syngenta has turned down a revised takeover offer from rival Monsanto , calling the amount inadequate and saying antitrust hurdles are too risky. Monsanto did not raise its original April bid of $45 billion; rather it added a $2 billon breakup fee in hopes of mitigating the antitrust concerns.

At the moment, Sygenta is rejecting the overture, arguing that the $45 billion offer is inadequate - and worrying about the reputational risk of merging with a company that's perceived as carrying some undesirable baggage.

Dish in financing talks for T-Mobile US bid - report

(Telecompaper) Dish is in talks with banks about funding a bid for T-Mobile US, the Wall Street Journal reported. Dish is considering borrowing USD 10-15 billion for the cash portion of a bid that would primarily be comprised of its stock, according to people familiar with the matter. The two sides are discussing a deal that would leave Deutsche Telekom , which controls T-Mobile, with a big minority stake in a combined company, the sources said. A deal agreement between Dish and T-Mobile is not imminent, and it is possible there still won't be one, the sources added. It is unclear how much Dish is considering paying for T-Mobile, which has a market value of USD 31 billion and is the fourth-largest mobile carrier in the US. Dish, the country's second-largest satellite-television provider, has a market value of USD 34 billion.

China group tops Cypress in bid for Silicon Valley chip company ISSI

The see-saw bidding for Silicon Valley chip maker Integrated Silicon Solution Inc. continued Thursday as a Chinese investment group topped Cypress Semiconductor with a bid of nearly $700 million. Shareholders, who are sitting on the sidelines watching the contest, have seen the company's value rise nearly $60 million from the original offer Integrated Silicon was ready to sign in March with Uphill Investment, a Chinese private equity consortium.
