SKY Italia subscriber base declines 25,000 in 2Q 2014

Twenty-First Century Fox (NASDAQ: FOXA, FOX) has reported results for the quarter ended June 30, 2014. SKY Italias subscriber base declined by 25,000 during the quarter bringing total subscribers to 4.73 million.

BSkyB acquires Sky Deutschland, Sky Italia for GBP 4.9 bln

(Telecompaper) British Sky Broadcasting (BSkyB) has agreed to buy Sky Deutschland and Sky Italia from 21st Century Fox for a total of GBP 4.9 billion cash. The deal creates a new business, already dubbed 'Sky Europe' by the media, that will be the leading pay TV provider in three of Europe's four biggest markets, serving a total of 20 million customers. The news comes two months after the BSkyB said it was in talks with Fox, which is its biggest shareholder as well as the owner of Sky Italia and 57.5 percent of Sky Deutschland. BSkyB will pay for the deal with cash, debt and by a placing of shares that represents around 10 percent of the firm's issued share capital. In total, BSkyB confirmed it would pay GBP 2.45 billion for Sky Italia and GBP 2.9 billion for Fox's majority stake in Sky Deutschland. The payment for Sky Italia will also include BSkyB's stake in the National Geographic Channel, valued at GBP 382 million. In addition to the enhanced growth profile of the business, BSkyB expects to realise GBP 200 million of run-rate cash synergies by the end of the second full financial year after completion, with further additional synergies to come in subsequent periods.

BSkyB starts talks to buy Sky Italia, Deutschland

(Telecompaper) UK pay-TV operator BSkyB is considering expanding to Europe with the acquisition of 21st Century Fox's interests in Sky Deutschland and Sky Italia. Following a report by Bloomberg on the deal, BSkyB issued a statement and said it started preliminary discussions with 21st Century Fox to evaluate the potential acquisition of its pay-TV assets in Germany and Italy. BSkyB said that "at the right value, this combination would have the potential to create a world-class multinational pay TV group". The talks have not yet moved beyond the early stage, and no details of the potential deal were disclosed. Sky Deutschland has 3.73 million subscribers and part of its shares are listed on the stock market. Sky Italia is 100 percent owned by Fox and has 4.75 million subscribers. BSkyB noted that all decisions on the potential transaction are being considered by a committee of its independent directors, with those affiliated with Fox not involved.

Telecom Italia to offer Sky TV service to broadband base

(Telecompaper) Telecom Italia has reached an agreement to offer the pay-TV service Sky Italia to its broadband customers. A new IP-based delivery platform will be developed to offer the full range of Sky services to Telecom Italia customers. The Sky service will be marketed to TI customers from 2015, focusing on those using the FTTC network, which can better support HDTV. The agreement is expected to improve the growth prospects for TI's FTTC service, as its own Cubovision TV service has failed to attract many customers. For Sky, the deal expands its distribution to households that cannot mount satellite dishes.
