Corporate Compliance Officer

Primary role purpose The Compliance Officer will lead, influence and work with a wide range of internal customers to ensure compliance and best practice in activities such as the Export Compliance programme for Inmarsats UK business, being involved in aspects of U.S. ITAR, Export Administration Regulations EAR, Office of Foreign Assets Control OFAC compliance. The successful candidate will also have ongoing responsibility for annual employee certification of Legal Compliance Programme and Policies and support on the administration associated with competition compliance activities. The candidate will be integral to the implementation of requirements to ensure adherence to the UK Bribery Act and the U.S. Foreign Corrupt Practices Act FCPA. We would want the candidate to also take on responsibility for managing the Model Code requirements, including maintenance of legally required insider lists, managing the admin for the Sensitive Information Policy and becoming Secretary to the Trustee for the UK pension funds. Key responsibilities of the position The primary responsibilities of this position will include, but are not limited to, the following Coordinating with Legal on matters of compliance, especially with regards to areas listed in greater detail below Serve as Inmarsats ITAR Empowered Official as required in the UK. Provide oversight and ongoing updating of the ITAR Technology Control Plan by undertaking an audit of compliance with the Plan incorporating escalation processes, including reporting of breaches. Trade Agreements Act TAA NDA administration and review. Plus associated communications to affected parties. While, arranging minutesauthorisation signatures and keeping complete records of all TAA support activities. Preparation of course material and delivery training programmes and subsequent training records through delivery of basic export control knowledge, with emphasis on ITAR. Providing UK Bribery Act and FCPA information sharingcreatingenacting processes. Legal compliance general information provision. Creating awareness of and competence in compliance issues across the organisation Be the goto person for initial queries on export advice and direct to Legal as appropriate for more detailed response. Coordinate and followup with Legal on matters requiring continued diligence andor followup. The Compliance Officer should especially coordinate with Legal as a matter of process with regards to the providing clarity and process on how to track when information becomes ITAR controlled. Providing guidance on whether employment posts have ITAR content and if so, what is required to ensure adherence to ITAR requirements. Understanding and providing guidance regarding Inmarsats requirements of exporting and importing dualuse and defence articles and services under International Traffic in Arms Regulations ITAR, Export Administration Regulations EAR, Office of Foreign Assets Control OFAC, U.S. Customs regulations, and other trade regulations. Responsible for the annual Legal Compliance and Policy approvals by Inmarsat staff and liaison with the proxy company on their own policy. Ensure that policies and procedures are incorporated into local work, recruitment and new starter processes, and that all required registrations are properly maintained. Audit the HR process for recruitment for ITAR posts and the maintenance of necessary records incorporating escalation processes, including reporting of breaches. Admin and oversight, working with the legal team, on regulation of investigative powers. Provide admin support to the competition compliance activities including maintaining training records and annual reviews. Maintain a working knowledge of all applicable regulations affecting the UK business and provide guidance on any changes in US and European export controls and anticorruption UK Bribery Act requirements. Reviewing UK requirements against those in other key Inmarsat operating territories. Conduct annual selfassessments to identify gaps and areas of risk across all areas of involvement. Coordinate auditing of compliance records. Conduct regular testing of procedures to ensure compliance across all areas of involvement. Develop and maintain metrics to measure compliance performance. Secretary to the Disclosure Committee for approving financial information for distribution to the Inmarsat plc. board. Ensuring the Sensitive Information Policy is understood and in place throughout the company and processes in place with can be audited. Subsidiary company work responsible for identified countries to put in placereview existing entities. Countries identified on a case by case basis. Perform coordination role for entity operations in new countries across support areas with Business Units BUs, to support BU go to market strategies. Secretary to the Pension Trustee and responsible for all admin activities associated with this. This responsibility will be assumed over a period of time. Support the Company Secretary on specific projects as appropriate. Work closely with the Deputy Company Secretary. Essential Knowledge and Skills Experience with both US and European export controls regulations, especially the ITAR, is required, including familiarity with ITAR licensing requirements, and sanctions. Significant experience or knowledge of anticorruption UK Bribery Act and U.S. FCPA regulations and compliance best practices. Ability to work in environment with complex processes, systems, and organisational structures. Strong analytical, verbal, written and interpersonal skills with the ability to interface with all levels of management and employees. Experience in processing ITAR export licenses, Technical Assistance Agreements, and other ITAR authorizations, as well as in identifying areas of trade compliance risk and compliance audits and investigations management. Experience in the development, implementation, and management of a compliance programme, including training, policies, guidelines and procedures. Training and Auditing, experience and education proactive in approach to problem resolution. Proactive, well organised and motivated to deliver highlevel performance with a high degree of attention to detail. Legal andor company secretarial background will be helpful. Good communication, presentation and interpersonal skills. Ability to be a team player, recognize red flag issues, and willingness to coordinate across divisions. Desirable Knowledge and Skills Experience with Export Administration Regulations EAR is preferred. Experience with the Foreign Corrupt Practice Act FCPA is preferred.
