Zegona acquires Spain's Telecable for EUR 640 mln

(Telecompaper) Zegona, an investment vehicle set up by former Virgin Media finance director Eamonn O'Hare, has reached an agreement to acquire Spanish regional broadband operator Telecable from Carlyle Group and Liberbank for an enterprise value of EUR 640 million. In a statement Zegona said it expected to close the deal by mid-August and that it would fund the acquisition with a combination of GBP 251 million of new equity, backed by institutional investors, funds from its recent float and a new debt facility arranged by Goldman Sachs. The deal for Telecable, present in the northern Spanish region of Asturias, comes just a few days after Euskaltel, operating in the Basque Country, agreed to purchase rival cable provider R, operating in Galicia, for EUR 1.16 billion.

Telefonica, DTS fined EUR 15.5 mln for football rights deal

(Telecompaper) Spanish communications and competition regulator CNMC has fined Telefonica and Distribuidora de Television Digital (DTS) a total of EUR 15.5 million on grounds of having colluded in the acquisition, resale and exploitation of football broadcast rights for the 2012-2013 and 2014-2015 seasons. The regulator said the sharing agreements between the companies infringed EU competition laws and that, as a result, Telefonica and DTS would be fined EUR 10 million and EUR 5.5 million, respectively, for two agreements reached in August 2012 for the commercialisation of the channels Canal+ Champions League and Canal+ Liga. In a strongly worded statement, the CNMC said Telefonica was aware of DTS's strategy of marketing Champions League rights to a single telecoms operator before other operators and that DTS drafted the auction conditions to favour Telefonica and limit competition between pay-TV operators. Similarly, with regard to Canal+ Liga, DTS drew up its wholesale offer in such a way that Telefonica knew its strategy and prices in advance, placing the operator it at a competitive advantage over other bidders.

Public transport ITS in Europe reaches EUR 1 bln in 2014

(Telecompaper) The market value for Intelligent Transport Systems (ITS) deployed in public transport operations in Europe was EUR 1.03 billion in 2014, according to a research report from the analyst firm Berg Insight. Growing at a compound annual growth rate of 7.2 percent, this number is expected to reach EUR  1.46 billion by 2019. The European market for ITS for public transport is in a growth phase which will continue throughout the forecast period, researchers said. The fluctuating economic climate in most countries had limited effect on this market as the public investments which underpin a major part of the ITS initiatives remained stable throughout the periods of crisis in most countries.

Euskaltel to buy regional operator R for EUR 1.16 bln

(Telecompaper) The consolidation of the Spanish telecommunications market shows no sign of abating with regional cable operator Euskaltel, operating in the Basque Country, agreeing to purchase rival cable provider R, operating in Galicia, for EUR 1.16 billion. In a statement outlining the terms of the deal, Euskaltel said it offered R's shareholders cash and new shares valued at 10.9 times the company's EBITDA. The deal means CVC Capital Partners, which had a 70 percent stake in R, will become one of Euskaltel's leading shareholders. In a statement to Spain's market regulator CNMV, Euskaltel said the combined entity will have over 715,000 residential and business customers and that the companies will continue to operate under their original brands in their respective regions in northern Spain.

KPN fined EUR 8 million for unfair competition

(Telecompaper) Dutch regulator ACM announced two fines totaling EUR 8 million against KPN for unfair competition. The first fine of EUR 6 million was for violations in the monitoring service ISDN-Lijnbewaking in the period 2009-2013. The additional EUR 2 million fine follows violations in the SDF backhaul service in 2009-2012. According to the regulator, KPN in both cases put rivals at a disadvantage by making it difficult for them to deliver services to customers in a timely fashion. The ISDN Lijnbewaking offered customers a guaranteed return to service within four hours of any disruption. While KPN offered this to its own customers, its competitors did not know the service existed, as KPN did not include it in the reference offer. Similarly with SDK backhaul, which provides improved internet and TV services using fibre infrastructure, KPN did not make a timely offer of the service to wholesale customers. It also charged its own internal organisation less for the service than allowed by the regulator.
