Mediaset confirms Pier Silvio Berlusconi as new CEO

(Telecompaper) Italian broadcaster Mediaset has announced the appointment of Pier Silvio Berlusconi as its new CEO, confirming reports that the 46-year-old son of former prime minister Silvio Berlusconi was set to replace Giuliano Adreani, who has been CEO since 2000. Pier Silvio Berlusconi also retained his role as vice-president, while Adreani will continue as chairman of advertising unit Publitalia and will advise the new CEO on advertising strategy and relations with key investors.

Telefonica buys Mediaset stake in Digital+ for EUR 295 mln

(Telecompaper) Telefonica has agreed to acquire Mediaset's 22 percent stake in Spanish pay-TV platform Digital+ for an initial EUR 295 million. Telefonica said it had also agreed to pay Mediaset a further EUR 30 million in compensation for waiving its right of first refusal for the stake, a further EUR 10 million when it completes the acquisition of Prisa's 56 percent stake in Digital+ and an additional EUR 30 million depending on the future performance of the Spanish pay-TV market. In June Telefonica said it had closed the purchase of the 56 percent stake in Digital+ owned by Prisa for EUR 750 million to raise its stake in the broadcaster to 78 percent, a deal which is still subject to regulatory approval. If Spain's regulator green lights the deal, Telefonica would take full control of Digital+ and gain greater flexibility in integrating TV content into its Movistar Fusion convergent packages. The acquisition of Digital+ brings with it a large customer base in the form of the 1.6 million subscribers to pay-TV channel Canal+ and gives Telefonica access to Prisa's TV catalogue, including its rights to live Spanish football games. Mediaset is said to have accepted Telefonica's offer to free up funds to pay for the rights to televise Serie A, Italy's top-flight football league, between 2015 and 2018.

Telefonica offers Mediaset EUR 295 mln for Digital+ stake

(Telecompaper) Telefonica has offered EUR 295 million to Italian broadcaster Mediaset for its 22 percent stake in Spanish pay-TV platform Digital+. In a statement to Spain's market regulator CNMV, Telefonica said the binding offer may increase by a further EUR 10 million if it completes the purchase of 56 percent of Digital+ from Prisa, and by as much as EUR 20 million more depending on gains in pay-TV customers over the next 4 years. If Mediaset accepts Telefonica's offer, it will also waive a preferential right to acquire Prisa's stake in Digital+, for which Telefonica will pay Mediaset an additional EUR 30 million. Earlier this month Telefonica said it had closed the purchase of the 56 percent stake in Digital+ owned by Prisa for EUR 750 million to raise its stake in the broadcaster to 78 percent, a deal which is still subject to regulatory approval. Buying Mediaset's stake would give it full control of Digital + and greater flexibility in integrating TV content into its Movistar Fusion convergent packages. Prisa gives Telefonica and Mediaset 15 days to buy Digital+

(Telecompaper) Telefonica and Italian broadcaster Mediaset have a 15-day term in which to decide whether to complete the purchase of satellite pay-TV platform Digital+ from Spanish media group Prisa, reports Europa Press. The ultimatum comes after Prisa informed Spain's market regulator CNMV that the Polanco family, through its Rucandio holding, had lowered its stake in the media group from 31.6 percent to 25.53 percent. As a result, a clause in the shareholders' agreement between the three companies has been triggered and Telefonica and Mediaset, each of which own a 22 percent stake in Digital+, now have 15 days to decide whether to proceed with the acquisition of Prisa's 56 percent share. Prisa has informed the Italian and Spanish companies of the development.
