Mediaset sues Vivendi, seeks EUR 1.5 billion in damages

(Telecompaper) Italian broadcaster Mediaset has filed a lawsuit against in order to force Vivendi to honour its deal to acquire 100 percent of its pay-TV business Mediaset Premium, Les Echos reported. The Italian group expects to win damages of at least EUR 1.5 billion and is demanding an additional EUR 50 million for each month Vivendi fails to comply with the deal, the paper cited a Mediaset spokesman as saying. The paper said the lawsuit was filed on Friday at a court in Milan and that Vivendi declined to comment on the news.

Vivendi questions Mediaset Premium value, looks to cut stake

(Telecompaper) Italian broadcaster Mediaset has announced that French media giant Vivendi has backtracked on its plan to acquire 100 percent of pay TV unit Mediaset Premium, submitting a new proposal to take a 20 percent stake, plus 15 percent in three years' time through a convertible bond issue. Mediaset said it received a letter from Vivendi "absolutely out of the blue" that was in "clear contradiction" with what it described as a binding agreement to acquire Mediaset's 89 percent stake in the unit as well as the remaining 11 percent stake held by Spain's Telefonica. The French group subsequently issued a statement clarifying that CEO Arnaud de Puyfontaine sent a letter to Mediaset on 21 June informing the Italian company's management of "significant differences in the analysis of [Mediaset Premium's] results, for which the two companies are currently in negotiations."

Mediaset fined EUR 51 mln over Italian football rights deal

(Telecompaper) Italy's anti-trust regulator AGCM has fined Mediaset Premium, Sky Italia, Infront Italy SRL and the Italian football league a total of EUR 66 million for alleged collusion in the acquisition of TV football rights. Mediaset received the highest fine amounting to EUR 51.4 million for breaching competition laws during the 2014 sale of football TV rights with a view to excluding new entrants. Sky Italia was fined around EUR 4 million, while the Italian football league and Infront Italy SRL, the agency that managed the auction, were fined some EUR 1.9 million and EUR 9 million respectively. In a statement, Mediaset pledged to appeal against the decision, which it described as completely unfounded and "based on a theory built on sand."
Vivendi buys Mediaset Premium in share swap deal

(Telecompaper) French media giant Vivendi has reached an agreement to acquire the Mediaset Premium pay-TV business of Italian commercial broadcaster Mediaset as part of a wider deal that will see the two companies taking a 3.5 percent stake in each other. The share-based transaction values Mediaset Premium at EUR 800 million, with Vivendi acquiring Mediaset's 89 percent stake in the unit as well as the remaining 11 percent stake held by Spain's Telefonica. "The agreement with Mediaset confirms Vivendi's intention to build strong positions in Southern Europe, a market that shares a similar Latin culture and roots," said Vivendi in a statement, adding that its acquisition of Mediaset Premium serves to expand its presence in European pay-TV, increasing its global individual subscriber base to over 13 million.
